JAGA Scholarship Trustee Meeting - March 8th, 2011

Officers Present: Bob Streightiff, Joe Power, Barney Poston, Tom Tierney, Jerry Kay, Arch Copeland & Gary Owensby

                            Earl Kelly, Ed Witten

 

Call  To Order - Bob Streightiff called the meeting to order at 11:15am

 

Prior to the call to order an approximate time line was given concerning JAGA’s corporate status

            1954 - JAGA was formed

            1966  - Papers to incorporate were filed by Judge Santora and we became a

                        Florida non-profit  

            1974 - A move was made to separate JAGA and the “JAGA Charitable Trust”

 

            More exact dates and details are found in the newly published “JAGA History Book”

            and in Earl Kelly’s archives of JAGA’s history.

 

A Trust Fund update was given by Tom Tierney concerning funding levels, shortfalls and student compliance with the scholarship requirements. During the discussion a sometimes confusing and contentious exchange took place surrounding the governance of the Trust, how it should work and which governing documents apply. Due to  the voluntary nature of our service and misunderstandings over the years it was agreed that many details have fallen through the cracks, concerning the governance structure of the Trust versus JAGA.

In an attempt to sort things out the following resolution from the  Trustees of the Scholarship fund (Ed Witten, Tom Tierney & Earl Kelley) was put forth and approved.

 

Be it resolved by the supervising Trustees of the JAGA Charitable Trust, Tom Tierney, Edward Witten,

and Earl Kelley, that the operation of the Trust shall be by the current JAGA Executive Committee and said executive committee shall be given the title of JAGA Charitable Trust Trustees. The Trustees shall change at the end of each term of the executive committee of JAGA. The Executive Committee shall consist of President, Vice President of Administration, Vice President of Tournaments, Secretary, Executive Secretary, Treasurer, Scholarship Chairman and immediate Past President of JAGA, a Florida not for Profit Corporation.

 

Having passed this resolution a voice vote was held to set up officers for the Trust as follows:

Tom Tierney - Treasurer

Arch Copeland - Secretary

Bob Streightiff - President

Joe Power - Vice President

 

This seemed to satisfy everyone for the time being. Forward dates were set up for future meetings. Charitable Trust Trustees - May 11th - San Jose Country Club & June 15th for JAGA Directors at Deercreek CC. Dates and times to be reviewed as we get closer to the meeting
